Ticket Buyer Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you and Secret Golden Flower, LLC (“SGF,” “we,” “us”), a Delaware limited liability company. They govern the ticketing websites and mobile applications, show browsing, seat selection, checkout, payment facilitation, ticket delivery, and related technology we operate for independent theaters and live-event venues (each a “Theater”) — together, the “Service.” By purchasing a ticket or otherwise using the Service, you agree to these Terms.

Our Privacy Policy, Refund Policy, and SMS Terms are part of these Terms. Where these Terms leave a matter to the Theater (such as refunds, pricing, or house rules), the Theater’s posted policy governs that matter. The version of these Terms in effect at the time of your purchase governs that purchase.

2. Our Role and the Theater’s Role

SGF supplies the technology; the Theater is the seller of your ticket and the presenter of the event. The Theater alone is responsible for the event — its content, quality, scheduling, performers, program, venue conditions, safety, age restrictions, and whether it takes place at all. SGF does not produce, sponsor, or endorse any event and makes no representation about any event.

3. Who Can Purchase

Purchasing is for adults: anyone placing an order must have reached the age of majority in their state (18 in most of the US), and the contact and payment details provided must be accurate and yours to use. You are responsible for the accuracy of the email address and phone number you give us; electronic delivery to the contact details you provided counts as delivery to you. Individual Theaters may impose additional age restrictions for attendance at particular events.

4. Purchases and Pricing

  • Prices and fees. Prices and fees are set by the Theater and shown before you pay. Some Theaters include fees in the ticket price; others add a service fee at checkout. The total shown at checkout is the amount charged.
  • Seat holds. Selected seats are held for you for a limited time (typically 15 minutes). If checkout isn’t completed before the hold expires, the seats are released to others.
  • Payment and order completion. Payment is processed by Stripe. Your order is complete when your payment succeeds and the order is recorded in our system; the confirmation email we send is your receipt and proof of purchase, not a condition of the sale. If you were charged but no confirmation arrives within a reasonable time, contact the Theater or office@sgf.theater rather than purchasing again — any duplicate order created this way is handled by your Theater, which determines its own refund policy, so checking first is faster.
  • Pricing and listing errors. If an obvious error occurs — a mispriced ticket, an event listed with wrong details, or an order accepted before its intended on-sale time — the Theater or SGF may cancel the affected order and return the full amount paid. Neither the Theater nor SGF is responsible for travel or other expenses you incur in reliance on an erroneous order.
  • Quantity limits. The Theater or SGF may limit ticket quantities per order or per customer where displayed at checkout, may treat purchases made through multiple accounts or payment methods under common control as a single buyer for limit purposes, and may cancel (returning the amount paid) orders that the Theater or SGF reasonably believes were placed by automated means or in excess of displayed limits.

5. Tickets

  • What a ticket is. Your ticket is a limited, revocable permission from the Theater to attend the specified performance, subject to the Theater’s house rules and these Terms. It conveys no property interest and no right to any particular experience beyond admission.
  • Admission codes. Each ticket carries a unique code good for one admission; a code is honored the first time it is presented at the door. Keep your tickets private — anyone holding a copy of the code can use the admission before you do. Each ticket and/or code can only be used once.
  • Delivery and reissue. Tickets are delivered electronically by email, with optional text-message delivery and Apple Wallet passes where available. SGF does not deliver physical tickets. If you lose access to your tickets, the Theater or SGF can resend them to the purchase email address.
  • Transfers. Customers cannot transfer, forward, or resell tickets themselves. To put a ticket in someone else’s name, contact the Theater’s box office — transfers are performed by Theater staff only.
  • No resale. Tickets bought for resale, or resold in violation of these Terms or applicable law, may be voided without refund.

6. Refunds, Exchanges, and Cancellations

Refunds and exchanges are governed by our Refund Policy and your Theater’s own policy. In short: your Theater decides, canceled-and-not-rescheduled performances are always refunded, and nothing overrides rights the law guarantees you.

7. At the Event

  • House rules. Admission is subject to the Theater’s rules, including age restrictions, ID checks, bag or security checks, and codes of conduct. The Theater may refuse admission or remove any person for conduct it reasonably considers disruptive, unsafe, or unlawful, without a refund.
  • Recording. Performances — including magic acts and other proprietary stage material — may not be recorded, photographed, or streamed without the Theater’s permission. Violations may result in removal without refund and deletion of the recording.
  • Your image. Theaters sometimes photograph or film their audiences. By attending, you consent to the Theater’s reasonable use of crowd images that include you, in accordance with the Theater’s posted policies and applicable law.
  • Accessibility. Accessible seating and accommodations are arranged by each Theater. Contact the Theater before your visit — or note your needs during checkout where the option is offered — so it can seat you appropriately.
  • Assumption of risk. Attending a live event carries inherent risks, including injury, illness (including communicable disease), and loss of or damage to property. To the extent permitted by law, you voluntarily assume these inherent risks as to both the Theater and SGF. This paragraph does not waive claims arising from a party’s own negligence or willful misconduct where the law does not permit such a waiver.
  • Events beyond anyone’s control. Performances may be delayed, interrupted, or called off due to weather, performer illness, venue issues, or other circumstances beyond the Theater’s reasonable control. How such situations are handled — including any refund — is described in the Refund Policy.

8. Gift Cards, Promo Codes, Packages, and Season Passes

Gift cards, store credit, promo codes, ticket packages, and season passes are issued by and valid only at the issuing Theater. They have no cash value except where the law requires redemption for cash, cannot be replaced if a code is shared or misused, and are subject to any additional terms presented at purchase. Promo codes may be withdrawn or limited at any time before use.

9. Communications

By purchasing, you agree to receive transactional email about your order — confirmations, tickets, reminders, schedule changes, and post-show surveys. If you separately opt in to text-message delivery at checkout, we will also send transactional texts as described in our SMS Terms; text-message consent is optional and never a condition of purchase. Marketing emails are sent only with your consent, and every one includes an unsubscribe link.

10. Prohibited Conduct

When using the Service, you may not:

  • deploy automated software of any kind — including crawlers, headless browsers, or purchase scripts — against the Service, whether to gather data or to obtain tickets;
  • reserve seats you don’t intend to buy, game quantity limits, or exploit promo codes, gift cards, or pricing mechanics;
  • dispute a legitimate charge with your bank as a substitute for the Refund Policy;
  • probe, disrupt, or overload the Service, or attempt to reach data or accounts that aren’t yours; or
  • use the Service in violation of any law.

Violations may result in canceled orders, voided tickets, or blocked access.

11. Intellectual Property

The platform software, website and mobile-application design, and underlying technology are owned by SGF. Theater names, logos, show titles, images, performances, and event content are owned by the respective Theaters or their licensors. You may not copy, scrape, republish, or make derivative works from the Service except as needed for personal, non-commercial use of your own tickets.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SGF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. SGF MAKES NO WARRANTY OR REPRESENTATION REGARDING ANY EVENT, VENUE, OR THEATER, INCLUDING WHETHER AN EVENT WILL OCCUR AS SCHEDULED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) SGF IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (b) SGF IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF ANY THEATER OR FOR ANYTHING THAT OCCURS AT AN EVENT; AND (c) SGF’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID THROUGH THE SERVICE FOR THE ORDER GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE, LIABILITY IS LIMITED TO THE FULLEST EXTENT THE LAW ALLOWS.

14. Indemnification

You will indemnify and hold harmless SGF from third-party claims and reasonable costs (including attorneys’ fees) arising from your violation of Section 10 (Prohibited Conduct) or your unlawful use of the Service. This section does not apply to claims arising from SGF’s own negligence or misconduct.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be brought exclusively in the United States District Court for the Northern District of California or the state courts located in San Francisco County, California, and the parties consent to personal jurisdiction and venue there. Either party may instead bring an individual claim in small-claims court where permitted. Before filing any claim, you agree to first email office@sgf.theater describing the dispute and give us 30 days to try to resolve it.

16. General

  • Changes. We may update these Terms; the updated version will be posted with a new date and applies to purchases made after it takes effect.
  • Severability. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect.
  • No waiver. A failure to enforce any provision is not a waiver of it.
  • Entire agreement. These Terms, together with the incorporated policies and the applicable Theater’s posted policies, are the entire agreement between you and SGF regarding the Service.
